10. WRI is in no way associated with any entity, individual or business listed within the Registry (Service), and is in no way responsible for, nor has any control over, any action(s) that said entities, individuals, or businesses may take. WRI makes no guarantees, in whole or implied, that Subscribers of the Service will be able to obtain products or services from entities, individuals or businesses that are listed within the Service. WRI can also not make any guarantee, in whole or implied, as to the quality or authenticity of any products advertised by any entity, individual or business listed within the service, nor to their ability to deliver any product purchased. It is each Subscriber's responsibility to take appropriate precautions when purchasing merchandise. WRI will in no way be held liable for any loss that may occur through the use of suppliers listed within this service.

11 . Under no circumstances, including, but not limited to, negligence, shall WRI or any of its related, affiliated companies be liable for any direct, indirect, incidental, special, consequential or punitive damages that result from the use of, or the inability to use the Service. Subscriber specifically acknowledges and agrees that WRI is not liable for any defamatory, offensive or illegal conduct of any user, or for any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, alteration of or use of records, whether under contract or tort theory, or under any other cause of action, for any amount over and above the amount paid by Subscriber to WRI during the tenure of the Subscription.

12 . WRI MAKES NO WARRANTIES OR REPRESENTATIONS AS TO THE INFORMATION, SERVICES OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SERVICE. SUBSCRIBER'S USE OF THE SERVICE IS AT HIS/HER OWN RISK. WRI, NOR ANY PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICE OR CONTENT, IS LIABLE FOR ANY DIRECT INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING FROM YOUR ACCESS TO, USE OF, OR INTERPRETATION OF, THE SERVICE OR PRODUCTS OR SERVICES OR INFORMATION PROVIDED BY OR THROUGH THE SERVICE. WITHOUT LIMITING THE FOREGOING, WRI MAKES NO WARRANTY OF MERCHANTABILITY, FITNESS FOR ANY PURPOSE, OR NON- RESULTS OF THE USE OF THE CONTENT IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY OR OTHERWISE.

13. PLEASE NOTE THAT SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THE EXCLUSION OF IMPLIED WARRANTIES.

14. Subscriber agrees to indemnify and hold harmless WRI, the applicable websites, their officers, directors, managers, members, agents and employees from any claims against losses, liabilities or expenses (including reasonable attorneys' fees) arising out of Subscriber's breach of any term, condition or promise contained herein. Should any such claim for indemnification arise, or should any action be brought by Subscriber or WRI relating to any services or products offered by or through the Service, Subscriber agrees to submit to the personal jurisdiction of the courts of the Commonwealth of Virginia .

30 . Except for public domain material and electronic messages, all material displayed on the Service is owned and copyrighted by WRI, or is licensed under copyright to WRI, and may not be copied, redistributed, or downloaded, in whole or in part, without the prior written consent of WRI. You acknowledge and agree that all content and materials available on this site are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. Except as expressly authorized by WRI, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from such materials or content. Notwithstanding the above, you may print or download one copy of the materials or content on this site on any single computer for your personal, non-commercial use, provided you keep intact all copyright and other proprietary notices. Systematic retrieval of data or other content from this site to create or compile, directly or indirectly, a collection, compilation, database or directory without the expressed written permission from WRI is prohibited. In addition, use of the content or materials for any purpose not expressly permitted in these Terms and Conditions is prohibited.

WRI has invested considerable time and money in development of its intellectual property, and thus, WRI takes the protection of its copyrights very seriously. Any individual or entity found to be in violation of copyright laws in relation to use of information contained within the Service WILL BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW. Additionally, any individual or entity found to be in violation of copyright laws in relation to use of intellectual property belonging to WRI will be held civilly responsible for all losses, damages and harm incurred to WRI through said illegal usage. Losses, damages and harm, as well as an appropriate monetary value, will be determined in a civil trial in a court of law within the City of Virginia Beach, and under the jurisdiction of the Commonwealth of Virginia .

16. The Service enables Subscribers to share information with other Subscribers. Subscribers agree not to submit, publish, or display on the Service any defamatory, inaccurate, abusive, threatening, racially offensive, or illegal material. Transmission of such material that violates any federal, state, or local law, is prohibited and is a breach of this Agreement.

17. There are no facilities provided by the Service for sending or receiving private or confidential electronic communications. All messages shall be deemed to be readily accessible to the general public. Do not use the Service for any communication for which the sender intends only the sender and the intended recipient(s) to read. Subscriber hereby acknowledges and agrees that all messages entered into this Service can and may be read by the operators of the Service, whether or not they are the intended recipient(s).

18. Notices by WRI to Subscribers may be given by means of electronic messages through the Service, by a general posting on the service, or by conventional mail. Notices by Subscribers may be given by electronic messages or conventional mail, unless otherwise specified in the Agreement.

Any desire to cancel a subscription, change billing preference or locate a lost password must be handled through Subscription Manager.

19. This Agreement sets forth the full and complete understanding between Subscriber and WRI with respect to its subject matter, and supersedes all prior understanding or agreements, whether written or verbal. This Agreement may be modified upon notice by WRI to its Subscribers. Unless contrary to law or otherwise stated, each provision of this Agreement shall survive termination. This Agreement shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia for contracts entered into and wholly performed within the Commonwealth. The prevailing party in any suit to enforce the terms hereof shall be entitled to recover his/her/its reasonable attorneys' fees.

Terms and Conditions

The Wholesale Suppliers Registry is an online subscription service (the "Service") owned and operated by Wholesale Registry International, LLC. ("WRI"). Please carefully read and understand these Terms and Conditions prior to becoming a subscriber to the Service, as they constitute a binding legal agreement (the "Agreement") by and between WRI and persons who elect to become subscribers to the Service (the "Subscribers"). By submitting payment and registering your membership to The Wholesale Suppliers Registry, you acknowledge that you have read and accept our terms and conditions without exception. If you do not accept these terms, please do not register.

1. As a Subscriber to the Service, you agree to be bound by each and every provision contained in this Agreement (the "Agreement"). This Agreement may be modified or amended by WRI at any time. Please check the terms of use periodically as continued use of this site once changes have been posted constitutes acknowledgement and agreement with these terms and conditions.

2. Subscribers will be charged a subscription fee for the Service, in accordance with WRI's then-current billing terms. Except as otherwise provided herein, subscription fees are non-refundable. . Membership to The Wholesale Suppliers Registry is currently available on a $1.00 24-hour trial. This trial automatically renews at the rate of $70.00 recurring for each additional month thereafter. When you purchase a trial membership, a recurring subscription credit card or PayPal payment is initiated. By purchasing the trial, you agree to have WRI charge your credit card or PayPal account for $70.00 once your 24-hour trial period ends, unless you cancel prior to the end of the trial and the beginning of the next billing period. Additionally, you authorize WRI to charge your credit card $70.00 each month thereafter unless you cancel your subscription prior to the beginning of the next billing period. You may cancel your membership at anytime, and the details of subscription cancellation are explained further in section 6 of these Terms & Conditions. In the event of a price change, existing members will maintain the subscription price at which they initially Tryed.

3. Until such time as this Agreement is terminated in accordance with its provisions, Subscriber agrees to pay his/her/its subscription fee by credit card, PayPal or other approved facility or mechanism, and hereby authorizes WRI to charge Subscriber's credit card, PayPal account, or other approved facility or mechanism for the ongoing subscription fee purchased by Subscriber for the Service.

4. Subscriber agrees to immediately inform WRI of any of the following changes in his/her/its credit card account: Card loss or theft, or unauthorized usage of the card; apparent breach of security of Subscriber ID or password, such that unauthorized access to the Service via the card is possible. Unless Subscriber gives proper notice to WRI of same, Subscriber will remain liable to WRI for any and all charges for unauthorized use of the Service.

6. Subscription to the Service begins immediately with an approved transaction of $1.00, and the approval date/time will act as the official timestamp for the beginning of your 24-hour trial. Once the transaction has been received, the Subscriber will be redirected to an approval page where they will obtain their Username and Password and gain immediate access to the Service. Additionally, the Subscriber will receive an email confirmation of payment for the membership with the Subscription Order Number.

6a. To cancel your Subscription, you must use our Subscription Manager. The subscription manager is located at https://shop.paymentonline.com/eapi200938/custgw/submanager/login.html and in addition to cancelling your subscription, you may also locate a lost or forgotten password and/or change your billing preferences. All subscriptions must be cancelled through Subscription Manager. Any email requests to cancel will only delay the request, and will be met with a reply that you must cancel your subscription through the Subscription Manager.

6b. Subscribers canceling their membership within the trial period of 24 hours (from timestamp of their new order until the timestamp of their cancellation request) will be cancelled upon receipt of their cancellation request and no further recurring transactions will apply. Subscription Manager will send confirmation of their cancellation to the email address on record.

6d. Subscribers canceling their membership after the trial period of 24 hours (from timestamp of their new order until the timestamp of their cancellation request) will be cancelled at the end of the current paid month and no further transactions will apply. Subscription Manager will send confirmation of their cancellation to the email address on record. Refunds WILL NOT BE GIVEN for customers who cancel their Subscription after recurring monthly fee has been processed.

6e. Limit One (1) Trial Membership per person and/or business entity per quarter (3 months). Any individual who registers for two or more trials in a 3-month period authorizes Wholesale Registry International to charge their credit card for the full monthly subscription rate of seventy dollars per month, and setup a recurring subscription that will remain active until cancelled. Abuse of our trial period is a violation of our end-user license, theft of our intellectual property, and a violation of copyright and intellectual property laws. Individuals who deliberately seek to abuse our trial program will be dealt with accordingly.

6f. YOUR SUBSCRIPTION IS YOUR RESPONSIBILITY TO MANAGE AND REFUNDS WILL NOT BE GIVEN FOR ANYONE WHO CANCELS AFTER A RECURRING MONTHLY FEE HAS BEEN PROCESSED.

7. WRI has no responsibility for supplying Subscribers with computer equipment or communications connections necessary to access the Service. Furthermore, WRI is not responsible for assisting Subscribers in ensuring that their security settings are set such that they may login to the Service. These aforementioned security settings include, but are not limited to, personal computer settings, ISP instituted security restrictions and settings that may be placed at the computer network level within a home or office. Should the Subscriber be unable to access the Service, WRI will ensure that the Subscriber's username and password operate appropriately. At the point at which we determine that the Subscriber's username and password operate appropriately, it is solely the Subscriber's responsibility to troubleshoot access problems. Furthermore, as long as the Subscriber's username operates appropriately, said Subscriber is fully responsible for all Subscriber Fees associated with his/her/its account.

8. Usernames and passwords are non-transferable. Each Subscriber must keep his password strictly confidential. Remember your password! Transfer of any username or password to another person or entity, or allowing any person or entity other than the Subscriber to access the Service via such Subscriber's username and password is strictly prohibited, and is a breach of this Agreement and a violation of law. Should you forget your password, you may request that it be delivered to you through email by using the Subscription Manager accessible through the Member's area.

9. Subscriber hereby swears and affirms under oath, warrants and represents that he/she is at least eighteen (18) years of age and has the legal capacity to enter into agreements of this nature. Should you be unable to affirmatively make the representations and warranties contained herein, do NOT subscribe to this Service.
